Unibap: The exercise period for Unibap's warrants of series 2023/2024 (TO 3) begins today
Today, the exercise period for Unibap AB (publ)'s ("Unibap" or the "Company") warrants of series 2023/2024 ("TO 3") begins. The exercise period runs during the period from and including 17 September 2024, up to and including 1 October 2024. The last day for trading in warrants of series TO 3 on Nasdaq First North Growth Market is on 27 September 2024. The subscription price for subscription of shares through the exercise of warrants of series TO 3 has been set to SEK 1.97 per share.
During the autumn of 2023, Unibap carried out a rights issue of units which were 100 percent subscribed for. Each unit consisted of ten (10) shares and three (3) warrants of series TO 3 in Unibap. One (1) warrant of series TO 3 entitles the holder to subscribe for one (1) new share in Unibap. The subscription price for subscription of shares through the exercise of the warrants shall correspond to 70 percent of the volume-weighted average price paid for the Company's share on Nasdaq First North Growth Market during the period from and including 2 September 2024 up to and including 13 September 2024. Thus, the subscription price has been set to SEK 1.97 per share.
Warrants of series TO 3 in brief
Each warrant of series TO 3 entitles the holder to subscribe for one (1) new share in the Company during the period 17 September 2024, up to and including 1 October 2024. The subscription price for subscription of shares with the support of warrants of series TO 3 has been set to SEK 1.97 per share (corresponding to 70 percent of the volume-weighted average price in the Company's share during the period from and including 2 September 2024 up to and including 13 September 2024). If all warrants of series TO 3 are exercised for subscription of shares, the Company will receive approximately SEK 17.3 million in issue proceeds before transaction costs.
Upon exercise of all 8,803,755 warrants of series TO 3, the Company's share capital will increase by approximately SEK 1,190,477.343942.

How the warrants are exercised:
Nominee-registered warrants:
Subscription and payment of new shares, by exercise of warrants, shall be made to the account-holding bank/nominee with which the warrants are registered. The subscription and payment shall be made in accordance with instructions from each such bank or nominee. Please note that this should be done well in advance of 1 October 2024, as different nominees have different processing times.
Directly registered warrants:
No payment instructions will be sent out. Subscription shall be made through simultaneous cash payment according to instructions on the subscription form. The warrants will then be replaced with interim shares pending registration with the Swedish Companies Registration Office.
