Bluelake Mineral has resolved on a directed share issue to the underwriting guarantors and an issue of warrants to the technical management.
Bluelake Mineral AB (publ) ("Bluelake Mineral" or the "Company") has, as previously announced, completed a rights issue of shares with preferential rights for existing shareholders, which was resolved by the Board of Directors on September 17, 2025, pursuant to the authorization granted by the Annual General Meeting on May 15, 2025 ("the Rights Issue"). In accordance with the underwriting commitments that were entered into in connection with the Rights Issue, the Board of Directors resolved today, October 21, 2025, on a directed share issue to the underwriters of the Rights Issue (the "Compensation Issue"). The subscription price in the Compensation Issue is the same as in the Rights Issue, SEK 1.55 per share, and payment will be made by way of set-off against underwriters' claims for guarantee compensation. All 452,717 shares to the underwriters in the Compensation Issue have been subscribed for and allocated. The Board of Directors has further resolved on an issuance of warrants to enable share-based compensation to mine manager and technical management, conditional upon subsequent approval by an extraordinary general meeting.

The Rights Issue conducted by Bluelake Mineral was fully guaranteed in advance through subscription commitments as well as top and bottom underwriting guarantees. For top underwriting guarantors, twelve (12) percent of the guaranteed amount was settled in cash or fifteen (15) percent in shares, depending on the guarantor's choice. For bottom underwriting guarantors, twelve (12) percent of the guaranteed amount was settled in cash or twelve (12) percent in shares, depending on the guarantor's choice. Based on this, the Board of Directors, pursuant to the authorization from the Annual General Meeting on 15 May 2025, today resolved on the Compensation Issue, totaling 452,717 shares. The subscription price was set at SEK 1.55 per share, corresponding to the subscription price in the Rights Issue, following arm's length negotiations. All shares to the underwriters in the Compensation Issue have been subscribed for and allocated.
The reason for deviating from the shareholders' preferential rights in the Compensation Issue is to fulfil the Company's contractual obligations to the underwriters. The Board of Directors considers it beneficial for the Company's financial position to utilize the possibility of settling guarantee compensation in shares rather than cash, as it supports the Company's liquidity. Payment in the Compensation Issue will be made by way of set-off against the underwriters' claims for guarantee compensation. The subscription price in the Compensation Issue was negotiated on an arm's length basis in connection with the guarantee arrangements, in consultation with the financial advisor and by analysing a number of market factors such as the Company's financing needs, alternative cost of other financing and assessed market interest for an investment in the Company. Accordingly, the Board of Directors considers the subscription price to be in line with market conditions.
It has previously been communicated that the allotment of a total of 882,202 shares to Viko Eiendom AS, in its capacity as top underwriting guarantor, is conditional upon notification from the Swedish Inspectorate of Strategic Products ("ISP") that the application regarding the investment has been left without action or approved (the "FDI Decision") under the Act (2023:560) on the review of foreign direct investments ("FDI Act"). The Company has now been informed that Viko Eiendom AS wishes to receive guarantee compensation in the form of shares, whereby an additional 136,830 shares are conditional upon the FDI Decision. The Company will publish a separate press release when Viko Eiendom AS has received the FDI Decision from ISP.
Shares, share capital, and dilution
Through the Compensation Issue, the total number of shares in the Company will increase by 452,717 shares, from 156,629,796 shares to 157,082,513 shares, and the share capital will increase by SEK 45,271.70, from SEK 15,662,979.60 to SEK 15,708,251.30 after the completion of the Rights Issue. This corresponds to a dilution effect of approximately 0.29 percent of the total number of shares and votes in the Company after the completion of the Rights Issue.
Issuance of warrants
To enable share-based compensation to mine manager and technical management for the planned mining operations in Joma and Stekenjokk-Levi, the Board of Directors has resolved, provided a general meetings subsequent approval, to issue a maximum of 5,555,554 warrants of series TO6, entitling to subscription of a maximum of 5,555,554 shares in the Company, entailing an increase of the share capital upon full utilization by a maximum of SEK 555,555.40. This corresponds to a dilution effect of approximately 3.42 percent of the total number of shares and votes in the Company, after the completed rights issue and compensation issue. Each warrant of series TO6 shall entitle the holder to subscribe for one (1) new share in the Company at a subscription price corresponding to SEK 1.48 per share. The Board of Directors has further proposed that an extraordinary general meeting approve that the Company transfers warrants of series TO6 to EXT Mine Projects AB ("EXT"), a company jointly owned by Pär Göting, Anton Anundsson and Jonas Lindskog. The Board of Directors has further resolved that the general meeting's approval of the Board of Directors decision on issue of warrants and the general meeting's resolution on transfer of warrants shall be made as one resolution and are thus conditional upon each other. The reason for the deviation from the shareholders' preferential rights is to enable share based remuneration to EXT. The recruitment of mine manager and technical management for the planned mining operations in Joma and Stekenjokk-Levi is an important step in building up the Group's organization in both Norway and Sweden whereby the Company and its Norwegian subsidiary Joma Gruver are strengthened with internal, industry-leading mining technical expertise, which is assessed as very important in the phase that the Company is now beginning where the planned mining operations in Joma and Stekenjokk-Levi during the work with the pre-feasibility study will be designed, dimensioned and optimized. The Board of Directors overall assessment is thus that the directed new issue is beneficial for the Company and its shareholders.
The Board of Directors has further resolved to convene an extraordinary general meeting to approve the Board of Directors decision regarding the issuance of warrants of series TO6 and the transfer of warrants. Notice of the extraordinary general meeting will be made through a separate press release.

General information about the Company
Bluelake Mineral AB (public) is an independent Swedish company active in exploration and mine development of copper, zinc, nickel and gold resources.
The Company owns approximately 99% of the subsidiary Vilhelmina Mineral AB, which is focusing on development of copper and zinc deposits in the Nordic region. In Sweden, the Company owns Stekenjokk-Levi project, where a total of approximately 7 million tonnes of ore were mined between 1976 and 1988 with an average grade 1.5% Cu and 3.5% Zn. Stekenjokk-Levi is, according to a recent Mineral Resource Estimate by SRK Consulting, containing inferred mineral resources of approximately 6.7 million tonnes with 0.9 % Cu, 2.7 % Zn, 0.6 % Pb, 55 Ag g/t and 0.2 g/t Au for Stekenjokk and inferred mineral resources of 5.1 million tonnes with 1.0 % Cu, 1.5 % Zn, 0.1 % Pb, 22 Ag g/t and 0.2 g/t Au for Levi (at a NSR cut-off of 60 USD/t). In Norway, the Company is owner of Joma Gruver AS which holds exploitation rights for the Joma field, where approximately 11.5 million tonnes of ore were processed between 1972 and 1998 with an average grade of 1.5% Cu and 1.5% Zn. The Joma field (excluding Gjersvik) is, according to a recent mineral estimate by SRK Consulting, containing indicated mineral resources of approximately 6 million tonnes with grades amounting to 1.00 % Cu and 1.66 % Zn and inferred resources of 1.2 million tonnes with grades 1.2 % Cu and 0.7 % Zn (at cut-off of 50 USD/t).
In addition, the Company holds exploitation concessions for the nickel project Rönnbäcken (which is Europe's largest known undeveloped nickel resource) and an exploration permit for Orrbäcken, both which are located in Sweden. According to a recently updated mineral resource update in by the mining consulting company SRK, the Rönnbäcken project contains a mineral resource of 600 million tonnes with an average grade of 0.18% Ni, 0.003% Co and 5.7% Fe ("measured and indicated"). The updated preliminary economic assessment that SRK completed predicts a production of 23,000 tonnes of nickel, 660 tonnes of cobalt and 1.5 million tonnes of iron per year for 20 years, which would be a significant share of Sweden's total annual use of nickel which thereby has a strategic value. Orrbäcken is considered to have potential as a nickel deposit.
Further, the Company holds an exploration permit for Kattisavan which is considered to have potential as a gold resource and is located within the so-called gold line, close to projects such as Svartliden, Fäboliden and Barsele.
