Coegin Pharma Calls SEK 6 Million Under Previously Announced Capital Facility
The Board of Directors of Coegin Pharma AB (publ) ("the Company" or "Coegin Pharma") has today resolved to call SEK 6 million under the capital facility of SEK 16 million announced on 25 June 2026. The amount corresponds to the full amount available under Tranche 1 of the capital facility and will be provided by existing shareholders Alveco Invest AB, Bengt Svenstig, Crystallus AB and Lennart Börjesson.
Background
Coegin Pharma is entering a new phase in the commercialization of Follicopeptide®. During the past period, a significant part of the Company's resources and operational focus has been directed towards establishing scalable production capacity and developing a broader portfolio of Follicopeptide-based products. This has created a stronger platform for commercial expansion, with multiple products, customer segments and routes to market.
With this foundation increasingly in place, Coegin is now shifting its focus towards accelerating sales and market penetration. The capital called under Tranche 1 will provide additional resources to strengthen sales activities, expand distribution and increase investments in marketing and communication, with the objective of building broader commercial reach for both Follicopeptide and VEXIENNE®. The VEXIENNE platform has been developed to complement the Company's private-label and partner-based business models and enable scalable distribution through selected commercial partners.
At the same time, Coegin continues to broaden the commercial potential of the Follicopeptide platform through selected product development. This includes preparations for the launch of the Company's new eyelash product and the continued development and commercialization of VEXIENNE CLINIC, a dedicated series of Follicopeptide-based products specifically developed for professional clinics and hair transplant clinics. The clinic series is intended to create a distinct professional offering alongside the Company's consumer portfolio and open an additional commercial channel for Follicopeptide. The broader portfolio is designed to strengthen Coegin's offering to partners, reach additional customer segments and create further opportunities for recurring commercial volumes.

The Capital Facility
The capital facility was established to provide Coegin Pharma with increased financial flexibility during 2026-2027 and to support the Company's continued strategic and operational development. The facility provides access to a total of SEK 16 million in three separate tranches of SEK 6 million, SEK 7 million and SEK 3 million, respectively. Tranche 1 is available during the period from 1 September 2026 to 30 November 2026.
Capital drawn under Tranche 1 bears annual interest of eight (8) per cent from the date of the call until the date on which the drawn capital and accrued interest are set off against newly issued shares in the Company. The drawn capital shall be paid to the Company within ten (10) business days from the date of the call.
Set-Off Issue
Following the expiry of Tranche 1, the Board of Directors shall, within one (1) month, resolve on a directed set-off issue to the participants in the capital facility, whereby the drawn capital and accrued interest will be set off against newly issued shares in the Company. The resolution on the set-off issue is intended to be made pursuant to the authorization granted to the Board of Directors by the Annual General Meeting held on 21 May 2026.
The subscription price in the set-off issue shall correspond to a discount of fifteen (15) per cent relative to the volume-weighted average price (VWAP) of the Company's share during the ten (10) trading days preceding the issue resolution, but never below the quota value of the share.
