Caybon Holding AB (publ) initiates a written procedure

Caybon Holding AB (publ) initiates a written procedure to amend the terms and conditions of its junior secured bonds 2021/2030, its senior secured bonds 2024/2029 and its super senior secured bonds 2025/2028

Caybon Holding AB (publ) ("Caybon" or the "Company") hereby announces that it has instructed Nordic Trustee & Agency AB (publ) as agent (the "Agent") under its (i) junior secured fixed rate bonds 2021/2030 (ISIN SE0017084478) (the "Junior Bonds"), (ii) senior secured fixed rate bonds 2024/2029 (ISIN SE0021923562) (the "Senior Bonds") and (iii) super senior secured fixed rate bonds 2025/2028 (ISIN SE0023950902) (the "Super Senior Bonds" and, together with the Junior Bonds and the Senior Bonds, the "Bonds"), to initiate and issue a notice of a written procedure (the "Written Procedure") to seek the bondholders' approval of certain amendments to the respective terms and conditions of the Bonds (together, the "Terms and Conditions").

The Company is in discussion with certain holders of a qualified majority of the Bonds (the "Ad-Hoc Group") to address the Bonds and the Company's overall financing needs.

In light of the above, the Company proposes to amend certain provisions of the Terms and Conditions in order to facilitate the implementation of any agreement with the Ad-Hoc Group. Pursuant to the Written Procedure, the Company is requesting that the bondholders vote in favour of the below amendments to the Terms and Conditions:

 

  • that the beneficial owners of Bonds shall be permitted to vote in any written procedure by providing proof of holdings to the Agent directly; and
  • that a notice of written procedure issued by the Company pursuant to the Terms and Conditions shall become effective towards and considered received by the bondholders upon the Company's publication by a press release of such notice of written procedure (provided that such press release shall be issued no later than 17.00 CET in order to be deemed effective on that date) and that the relevant record date for any written procedure may be the date of effectiveness set out in such press release. Neither the Agent nor the Company shall be required to issue or dispatch any notice of written procedure by other means than as described in the Written Procedure.

The record date for a bondholder being eligible to vote in the Written Procedure is 15 September 2026 and the last day for voting in the Written Procedure is 21 September 2026 at 15:00 CEST. However, the Written Procedure may be concluded prior to the expiry of the voting period if the required majority is obtained.
