The Company's financial position as of 31 December 2025 is set out in the annual report for 2025. The annual report also sets out the principles applied for the valuation of assets, provisions and liabilities. Unrestricted equity in the Company amounted to SEK 295,642,292 as of 31 December 2025. The proposed dividend represents 12 percent of the Company's equity. The Group's equity ratio (equity/total capital) has been calculated at 99.0 percent as of 30 June 2026, and following the proposed dividend the Group's equity ratio has been calculated at 98.9 percent on a pro forma basis. After the dividend, the Company still has a good equity ratio, which in the Board's assessment meets the requirements that can currently be imposed on the industry in which the Company operates. After the dividend, the Company is assessed to have satisfactory liquidity and a consolidation need that can be considered met.
The Board of Directors notes that, following the proposed dividend, there is full coverage for the Company's restricted equity in accordance with Chapter 17, Section 3, first paragraph of the Swedish Companies Act (aktiebolagslagen). The dividend appears justifiable having regard to the demands that the nature, scope and risks of the operations place on the size of the equity. In this regard, the Board has taken into account the current economic cycle, historical development and forecasts for both the Company and the market.
The Board of Directors has reviewed the Company's financial position and, after careful consideration, concludes that a dividend is justifiable having regard to the prudence rule in Chapter 17, Section 3, second and third paragraphs of the Swedish Companies Act. The Board's assessment is that the dividend does not affect the Company's ability to meet its obligations in the short or long term. In an overall assessment of the Company's financial position, the Board considers that there are no obstacles to carrying out a dividend to the shareholders.
