Host Property AB (publ) obtains approval from Bondholders regarding certain amendments to the terms and conditions

(including an extension of the terms) of its outstanding senior secured bond loan

Host Property AB (publ) (the "Issuer") has instructed Nordic Trustee & Agency (publ), bond trustee for the Issuer's SEK 500,000,000 senior secured and guaranteed floating rate bonds with ISIN SE0013486057 (the "Bonds"), to instigate a written procedure (the "Written Procedure"). As described in the notice of Written Procedure published by the Issuer on 9 November 2022 and distributed to holders of the Bonds (the "Bondholders"), the Issuer has requested the Bondholders' approval of certain proposed amendments of the terms and conditions of the Bonds, including, inter alia, a two year extension of the terms of the Bonds, increased margin and increased redemption premium (the "Proposal"). The Issuer hereby announces that the voting period expired today, on 28 November 2022, and that a sufficient number of votes were obtained in order to form a quorum and that 77.3 per cent of the adjusted nominal amount for which Bondholders were voting, voted in favour of the Proposal. It is therefore resolved that the Bondholders have agreed to the Proposal. The decision to accept the Proposal is effective as per today and the terms and conditions of the Bonds will be amended and restated effective from today to reflect the approval of the Proposal (the "Amended and Restated Terms and Conditions". The Amended and Restated Terms and Conditions will be available on the Company's web page https://flyingelephant.com/reports#!/tab/226680303-2.

As stated in the notice of Written Procedure, a consent fee amounting to four (4.00) per cent. of the nominal amount as of today (the "Consent Fee") will be paid to the Bondholders. The Consent Fee will be paid to the Bondholders on a pro rata basis through Euroclear. The record date for payment of the Consent Fee will be 1 December 2022 and the payment will be made on 8 December 2022.
