HL18 Property Portfolio AB (publ) - Initiates an amended written procedure
On 14 March 2023, HL18 Property Portfolio AB (publ) (the "Company") instructed the agent for the Company's SEK 550,000,000 senior secured floating rate bonds 2021/2024 with ISIN SE0017082779 (the "Bonds") to initiate a written procedure. The Company has in agreement with some investors decided to make certain changes to the written procedure and therefore cancel the previously initiated written procedure and initiate a new written procedure (the "Written Procedure") to request the bondholders to vote in favour of amending the terms and conditions of the Bonds (the "Terms and Conditions"). Terms used herein and not defined herein shall have the same meaning as in the Terms and Conditions.
The Company proposes that the bondholders consent to the Terms and Conditions being amended in order to exclude the limitation of maximum SEK 300,000,000 of generated gross income in permitted partial divestment of properties. Furthermore, the Company proposes to include a limit of SEK 430,000,000 in aggregate of consideration for Replacement Properties financed with Prepayment Amounts, with the effect that if the total aggregate amount of consideration for Replacement Properties financed with Prepayment Amounts exceeds SEK 430,000,000 any remaining Prepayment Amounts shall be used for partial prepayment of the Bonds.
The Company offers a consent fee in an amount equal to 0.25 per cent of the nominal amount of each Bond held by the relevant bondholder on the Consent Fee Record Date (as defined in the notice to the Written Procedure). Further details regarding the terms and conditions for the consent fee are stipulated in the notice to the Written Procedure.
The agent will deliver the notice to a written procedure to all bondholders on 21 March 2023. The written procedure will commence on 27 March 2023 and end on 19 April 2023. To be eligible to participate in the written procedure a person must fulfil the formal criteria for being a bondholder on 27 March 2023. This means that the person must be registered on a securities account with Euroclear Sweden AB as a direct registered owner (Sw. direktregistrerad ägare) or authorised nominee (Sw. förvaltare) with respect to one or several Bonds.
