Safestate Group AB (publ): SafeState Refinances and Upsizes Its Facility with Fenja Capital, Strengthening Its Balance Sheet for the Next Phase of Growth

The refinancing removes near-term refinancing risk and gives SafeState a stronger, more stable capital structure as the business scales rapidly across the hosting, telecom and insurance channels.

Stockholm, 4th of August 2026, SafeState Group AB (publ) (NGM: STATE) today announces that it has agreed indicative terms to refinance and upsize its existing facility with Fenja Capital from SEK 70 million to SEK 90 million. The refinancing puts SafeState's balance sheet on a materially healthier footing, extending its runway and removing near-term refinancing risk at a time when the business is growing rapidly.

Since launching in February, SafeState has signed a series of major distribution partnerships across the hosting, telecom and insurance sectors, and demand for its white-label cybersecurity products continues to accelerate. This refinancing ensures the company is well capitalised to convert that momentum into sustained growth.

Under the non-binding term sheet, the facility carries an extended maturity, with interest of STIBOR 3M (floor 2%) plus a 4% margin over a 24-month term, a 2% arrangement fee deducted at disbursement, and a minimum total return to the lender of 1.25x the nominal amount, inclusive of interest paid, payable no later than maturity. The loan is convertible in full into shares at 125% of the closing price on the day prior to signing, and is accompanied by warrants corresponding to approximately 2.5% dilution (strike 140% of the prior-day close, five-year term). As part of the same refinancing, the company has today signed a EUR 5 million subordinated, three-year loan agreement at 6% with its largest shareholder, House of K holding limited, refinancing its existing vendor note a related-party arrangement handled in line with the company's related-party procedures. With the shareholder loan now signed, completion of the Fenja refinancing remains subject to definitive loan documentation and the intercreditor agreement, to be formalised no later than 23 August 2026. Final terms remain subject to definitive documentation. SafeState will update the market as appropriate.
