On 21 July 2026, Amwood AB (publ) (the "Company") announced that it had initiated a written procedure in relation to its senior secured bonds 2024/2027 with ISIN SE0023113998 (the "Bonds"), to request the holders of the Bonds to vote in favour of certain waivers and amendments to the Terms and Conditions, including among other things (i) a waiver of the Event of Default arising from non-compliance with the Interest Coverage Ratio on the Reference Date falling 30 April 2026, (ii) an increase of the permitted working credit amount from SEK 300,000,000 to SEK 375,000,000 (with the option to further increase to up to SEK 450,000,000), (iii) amendments to the Equity Ratio and Interest Coverage Ratio covenants, (iv) additional governance undertakings and, (v) the provision of additional security by the Issuer, each as further described in the press release published by the Company on that date.

A sufficient number of holders of Bonds participated in the Written Procedure and the requisite majority voted in favour of the requests set out therein. The Company is therefore pleased to announce the successful completion of the Written Procedure. The Company will continue with the implementation of the contemplated amendments and waivers as set out in the notice of Written Procedure.

In accordance with the notice of the Written Procedure, a consent fee corresponding to 1.00 per cent. of the Nominal Amount of each Bond will be paid to the holders of the Bonds. The consent fee will be paid to the holders of the Bonds through CSD on 31 August 2026. The payment will be made on a pro rata basis to those who are registered as holders of Bonds as of the record date on 24 August 2026. The payment will be made to all holders of Bonds regardless if such holder participated in the Written Procedure or voted for or against the requested waiver and amendments.
