Host Property AB (publ) has entered into a share purchase agreement regarding the divestment of Statt Söderhamn Aktiebolag

The Transaction is expected to close on 29 September 2023. If the Transaction is completed, it will constitute a Permitted Partial Divestment in accordance with Clause 14.6.3 of the terms and conditions for the Company's SEK 500,000,000 senior secured and guaranteed floating rate bonds with ISIN SE0013486057 (the "Bonds") originally dated 26 November 2019, as amended and restated on 26 March 2021 and on 28 November 2022 (the "Terms and Conditions"). Capitalised term used but not defined herein shall have the meaning given to it in the Terms and Conditions.

Subject to closing of the Transaction, the Company will make a partial prepayment of the Bonds by applying the Prepayment Amount (equal to the Release Price) towards reduction of the Nominal Amount of each Bond pro rata at a price equal to 104.50 per cent. of the Nominal Amount in accordance with Clause 10.7 of the Terms and Conditions. A conditional notice of mandatory prepayment due to a Permitted Partial Divestment will be distributed to the Bondholders and the Bond Trustee. The notice will also be published by way of press release.

Länia Företagsförmedling AB has, through Pernilla Sjödin and Thomas Norberg, acted as broker in the Transaction.
